general terms and conditions of sale

It is stated that:
SARL La Sanglière is a limited liability company with a capital of 8,000 euros, whose main establishment is located at 3886 Route de Léoube, 83230 Bormes les Mimosas, registered in the Toulon trade and companies register under number 441 196 4954, represented by Mr Rémy DEVICTOR and Mr Olivier DEVICTOR, duly authorized legal managers (hereinafter defined as "La Sanglière", in accordance with the trademark LA SANGLIERE registered by SARL La Sanglière).

From France, La Sanglière operates a free online sales platform allowing individual buyers, of legal age acting as consumers, to purchase wine products and to search and book wine tourism services online.

La Sanglière is the producer of the wine products listed online and the wine tourism activities for sale on the Site.

It was therefore agreed and decided that the following:

Definitions

For the sake of clarity and understanding, the Parties agree to the following definitions:

“Buyer”: refers to a natural person of legal age acting as a consumer, who has placed an order through the Site Services to acquire Products.

“Seller”: refers to La Sanglière professional wishing to offer for sale its wines and wine tourism activities.

“User”: refers to users of the Site and its Services without distinguishing whether they are Sellers or Buyers.

“Product”: refers to the wine product in the form of a bottle of wine through the Services offered by La Sanglière. Several bottles of wine will be referred to as “the Products”.

“Service”: refers to the Seller’s wine tourism activities available for booking in the form of tours and tastings. Several tours and tastings will be referred to as “Services”.

“Product Sheet”: refers to the presentation of the essential characteristics and in particular the price of a Product offered for sale by the Seller on the Site.
Article 1. Purpose – Scope – Membership
The Site is available in French and English.

Access to and use of the Site and the Services available on this Site are subject to the terms and conditions of these general terms and conditions of sale (hereinafter referred to as the "Terms"). By using the Services and the Site, Users accept the Terms and Conditions as well as any updates made by La Sanglière. The Terms apply to all sales of Products or Services made by La Sanglière and its Services and are intended to govern the relationship between La Sanglière and Users, as well as between Users themselves.

The terms and conditions are subject to change at any time; the applicable terms and conditions are those in effect on the day the order is placed by the Buyer.

The Terms and Conditions of Sale are automatically accessible to users from the Site's homepage. Users simply need to click on the "Terms and Conditions of Sale" section. Site users are advised to consult this page regularly.


Article 2. Product Sheet


The Products and Services are presented on the Site through a Product Sheet with a description enabling the Buyer to know their essential characteristics and their Price.

The information relating to the offers has been provided by the Sellers, who are solely responsible for the content of the description provided, its completeness and the conformity of the Products and Services offered to the description.

The photos and visuals of the Products and Services are provided for illustrative purposes only and are not contractual.


Article 3. Conclusion of the contract


The La Sangliere website mentions all the information required by article L.121-19 of the Consumer Code.

3.1. Ordering process on the Site and order confirmation

a. Buyers can order the Products offered by the Seller on the Site as long as the Product offers materialized by the Product Sheets are visible on the Site.

If the Buyer has a valid discount code, they simply need to enter the code in the box provided for this purpose before finalizing their order.

After being given the opportunity to check and modify the content and price of his order, and in order to finalize his order and pay, the Buyer declares that he has read and fully and unreservedly accepts all of the Terms and Conditions, by clicking on the box "I accept the terms and conditions of sale".

The language proposed for the conclusion of the contract is French.

b. An order confirmation email is then automatically sent to the Buyer (this email includes all the information required by Article L. 121-19 of the Consumer Code).

However, the sales contract is subject (i) to the condition precedent that the Product is available (see article 3.2 below) and (ii) that La Sanglière has acknowledged receipt of payment.

An order is considered confirmed when La Sanglière is able to confirm that payment has been received.

3.2. Product Availability – Resolutory Condition

The sales contract is subject to the condition precedent that the Products are available and that La Sanglière has acknowledged receipt of payment.

In the event that (i) the same Product is ordered by several Buyers at the same time and (ii) this Product is no longer available in sufficient quantity to satisfy all orders, it will be sold according to the chronological order of orders placed by the Buyers according to the principle of "First come, first served".

If the Product(s) become unavailable after an order has been placed, the Buyer will be notified by email from La Sanglière within forty-eight (48) business hours. The Buyer will then be offered a similar Product by La Sanglière or may choose to receive a refund of the amount charged. In the latter case, the contract between the Buyer and the Seller will be automatically terminated, and each party will be released from its obligations. The Buyer's bank account will be credited with the amount of the canceled order within fifteen (15) days. However, this termination only applies to the contract for the sale of the unavailable Product(s).

It is reiterated that only the Seller has control over the availability of the Product. The sales contract is deemed concluded at that moment.

3.3. Search and book a wine tourism experience online

It is the User's responsibility to carry out all checks that seem necessary or appropriate before making any reservation on the La Sanglière website. The user is obligated to verify the validity conditions of the requested service, in particular the minimum and maximum number of people who can access such a service.

Article 4. Price and payment terms


4.1. Selling Price for Bottle Purchases

The price is shown on the website in euros, including all taxes but excluding delivery charges.

4.2. Selling Price for Wine Tourism Services

La Sanglière offers a booking service for wine tourism activities. Following a booking made through the La Sanglière website, the Buyer agrees to pay the indicated amount. The price is shown on the website in euros, inclusive of all taxes.

4.3. Payment terms

Payment of the Price of the Product(s) and delivery charges is made when ordering on the Site from La Sanglière, and in the case of Article 4.1.b, after express acceptance of the terms and transport charges by the Buyer.

Payment can be made in one way: by credit card. The Buyer will be debited for the price of the Products purchased as soon as they have validated and confirmed their order online. If La Sanglière does not receive payment within forty-eight (48) hours of the order date, the sales contract is automatically terminated (see article 3.1.b). Each party is therefore released from its obligations.

The Buyer will therefore provide accurate, complete, and non-fraudulent information when paying for the order. The Buyer declares and warrants that they are fully capable and authorized to use the bank card and that they have sufficient funds in the bank account linked to the bank card used to pay for their order.

La Sanglière, using the services of the financial institution Stripe, may conduct checks to ensure the validity of payments and therefore request certain supporting documents from the Buyer, which the Buyer agrees to provide within forty-eight (48) hours. If these documents are not received within the specified timeframe or if the documents received are non-compliant, La Sanglière reserves the right to cancel the order(s).

A detailed invoice from Les Grappes is made available on the Buyer's account and sent to the Buyer at the time of shipment of the package.

4.4. Payment Security

Payment is made online using a secure SSL payment system. The website guarantees that all bank details necessary for the transaction and payment are securely encoded and encrypted. The highest security standards are applied to data storage and comply with the Payment Card Industry Data Security Standard (PCI DSS). No bank information is stored by the website. All payments are processed securely through Stripe.

La Sanglière has adopted the most effective security systems available today, establishing a direct encrypted connection between the Buyer and the bank. La Sanglière uses the Stripe solution with SSL (Secure Socket Layer) encryption but reserves the right to change systems at any time.

The website guarantees that all banking data necessary for the transaction and payment is protected by a secure encoding and encryption system. The highest security standards are applied to data storage, all of which comply with the Payment Card Industry Data Security Standard (PCI DSS). No banking information is stored by the website.

Although La Sanglière uses encrypted security software, the security of information and payments transmitted via the internet or email cannot be guaranteed. Les Grappes cannot be held liable for damages resulting from the use of electronic means of communication.

Article 5. Shipping and Delivery

5.1. Delivery of Product(s) is currently available in metropolitan France.

5.2. Delivery charges are billed to the Buyer at the rate in effect at the time the order is placed.

5.3. Once payment, as defined in Article 4, has been credited to La Sanglière's account, and the Seller has confirmed the availability of the Product(s) (in accordance with Articles 3.1.b and 3.2), and packaged them, the Product(s) will be handed over to the Carrier within forty-eight (48) hours. The Seller will use packaging suitable for the delivery of the Product.

The Seller will ensure that the information provided to the Carrier is correct and allows for prompt delivery of the order to the Buyer.

5.4. Deliveries are made within a maximum of fifteen (15) working days from order confirmation (see article 3.1), except in cases of force majeure.

The indicated times correspond to the processing, preparation and shipping times of orders, as well as the delivery time of the Transport Provider.

5.5. The Products are delivered to the delivery address indicated by the Buyer when placing the order.

In the event of an incomplete or incorrect delivery address, or failure to collect the package, forcing the Carrier to return the ordered Product(s), all additional costs incurred due to this omission or error will be borne entirely by the Buyer. Reshipment of the order will only occur after the Buyer has paid the reshipping costs.

5.6. Verification of goods upon delivery

The verification of the condition of the package and the Products is effective once the Carrier's delivery note has been signed by the Buyer.

Any damage, non-conformity or missing item in delivery must be notified by the Buyer to the Carrier in the form of a detailed and dated written statement accompanied by the Buyer's signature on the delivery note.

If the Buyer refuses the package due to an anomaly or non-conformity, they must note this on the Carrier's proof of delivery. Three notations are possible:

  1. Compliant without reservation
  2. Acceptance of part of the merchandise with reservations
  3. Refusal of goods with reservations

The failure to issue any reservations will render any subsequent claim inadmissible.

If damage is found during the purchase process, French law stipulates that the Buyer has fourteen (14) days after delivery to notify the Sender and the Recipient of any reservations, and releases the Carrier from all liability beyond this date (in accordance with Article 31 of the Montreal Convention). If delivery fails, the Buyer has 72 hours to provide instructions to La Sanglière. If no instructions are given, the goods will be returned to the estate within 96 hours at the Buyer's expense. Reshipment of the order will only occur with a new order from the Buyer. If no notification or reservation has been noted on the Carrier's delivery note, the Buyer may not, under any circumstances, file a claim with La Sanglière.

5.7 Verification of goods after delivery

The Buyer has 14 days to make a claim if the goods do not conform to his order or if the organoleptic properties of the product do not seem to conform to his expectations.

Article 6. Right of withdrawal

6.1. In accordance with the applicable legal provisions, in the context of a purchase made from a Seller, the Buyer has a period of fourteen (14) days from the receipt of the Product(s) ordered to exercise, with La Sanglière, his right of withdrawal, without having to justify reasons or pay any penalty.

The Buyer exercises his/her right of withdrawal directly with La Sanglière by email to serviceclient@domaine-sangliere.com , indicating his/her order number and the reference(s) of the Product(s) for which he/she/they are exercising his/her right of withdrawal.

6.2. In the event of exercising the right of withdrawal within the aforementioned period, only the price of the product(s) purchased and for which the right of withdrawal is exercised by the Buyer will be refunded by La Sanglière, the return costs remaining the responsibility of the Buyer.

In the event of a refund request, La Sanglière will proceed with the refund of the Product(s) by crediting the Buyer's bank account within a maximum period of thirty (30) days following the date on which the right of withdrawal was exercised.

6.3. The order must be returned to the Seller in perfect condition, in its original packaging or in suitable packaging and in a condition suitable for the re-marketing of the Product(s) (unopened bottles, undamaged corks and labels, etc.), accompanied by the invoice and then shipped under the same conditions as when it was sent.

The Buyer has fifteen (15) days from the date they notify La Sanglière of their withdrawal to return the package. Return shipping costs are the responsibility of the Buyer. It is the Buyer's responsibility to retain proof of shipment of the returned Product(s). This proof can be provided either by presenting a registered mail receipt or by presenting a document issued by the carrier to whom the return shipment was entrusted.

Article 7. Complaints

7.1. In general, La Sanglière is committed to providing a quality service to Users.

Therefore, any Buyer has the option to report any complaint concerning the Products ordered by sending an email to La Sanglière at serviceclient@domaine-sangliere.com , within seven (7) days of receiving any order, according to the following criteria:

– Product not received: The product has not been received by the Buyer.
– Non-compliant product: the product received does not correspond to the product ordered.
– Damaged product: The product received is damaged or broken.

7.2. In the event of a Buyer complaint regarding a Product, the Seller will implement all available means to manage the aforementioned incidents. Disputes are therefore settled between the Buyer and La Sanglière, who will make their best efforts to resolve the disputes amicably.

7.3. Depending on the circumstances, the reported dispute will result either in the return of the ordered Products or in a partial or full refund to the Buyer. This refund is issued by La Sanglière.

7.4. The Buyer shall be responsible for arranging the return of the Products to the Seller.

Article 8. Personal Data and the CNIL

8.1. Processing of personal data

The Data communicated by the User in the context of an order (name, surname, email, address, telephone, etc.) via the Site are intended for La Sanglière and are used for the processing and monitoring of orders, customer relations as well as to meet the legal and regulatory obligations incumbent upon La Sanglière.

Regarding data relating to the Seller's Products ordered by Buyers, which is collected within the framework of the Site and its Services, La Sanglière informs Buyers that this data is intended for La Sanglière, and that only the information necessary for the delivery of the Products will be transferred to the Seller for this sole purpose. It may under no circumstances be used for any other purpose.

The Seller will ensure the security of the Buyer Data that it retains for the purposes of order fulfillment and tracking.

As part of the Terms and Conditions, Users may receive information related to the Site and Services by email from La Sanglière.

In accordance with the provisions of law no. 78-17 of 6 January 1978, the Site has been declared to the National Commission for Information Technology and Freedoms, under number 1741000v0.

The User has the right to access, modify, delete and rectify their personal data by sending an email to serviceclient@domaine-sangliere.com or by mail to La Sanglière 3886 Route de Léoube, 83230 Bormes les Mimosas.

8.2. Cookies

In order to allow the User to avoid having to identify themselves each time they access the Service during the same day, except for the first access, La Sanglière uses session cookies.

These files, stored on the computer, allow the User to be identified each time they connect to the Site.

Furthermore, in order to improve the Site, La Sanglière uses audience measurement cookies to track metrics such as page views, visits, visitor activity on the Site, and return frequency, through the services of AT Internet and Google Analytics. These cookies are used solely for statistical analysis of Site visitor traffic, and the results are completely anonymous.

La Sanglière also uses third-party cookies. Third parties authorized to access the data collected in these third-party cookies by La Sanglière undertake to use this data in accordance with the provisions of the French Data Protection Act of 6 January 1978, as amended by the Act of 6 August 2004, and to respect the privacy of internet users.

The User may access all information contained in the files relating to the cookies used by La Sangliére in accordance with the provisions of the French Data Protection Act of 6 January 1978, by submitting the following request:

In general, any User can, if they wish, object to the use of cookies used by La Sanglière by selecting the appropriate settings of their browser to disable cookies (the help section of the browser used specifies the procedure to follow).

Article 10. Discount Codes

A discount code, non-exchangeable, non-refundable and non-transferable, placed in the Buyer's Shopping Cart.

The Buyer can use a discount code to pay for their order:

If the amount of the discount code used is greater than the order amount, La Sanglière cannot give change;

If the amount of the discount code used is less than the order amount, the Buyer will have to pay the difference.

A buyer can obtain a discount code:

In the case of a goodwill gesture from La Sanglière, the discount code obtained is valid for one (1) year from its date of creation.

As part of promotional operations organized by La Sanglière.

In the case of a refund for a product purchased with a discount code, the buyer will receive a new discount code valid for one year (1).

Article 11. Guarantees

The Products offered on the Site through its Services are covered by French legal guarantees. In accordance with applicable legal provisions relating to product conformity or latent defects, defective Products or Products not matching the order will be refunded.

These guarantees are without prejudice to the right of withdrawal provided for in Article 6 herein.

Article 12. Intellectual Property Rights

The intellectual property rights relating to the trademarks, software, and content made available to Users on or through the Site and its Services remain the property of La Sanglière and its potential licensors and are protected by applicable laws and regulations. Consequently, it is prohibited for any User to reproduce, display, or modify the software or content of the Site and Services for commercial or professional purposes.

Article 13. Sale of alcoholic beverages – Minors – Legal capacity

In accordance with Article L. 3342-1 of the Public Health Code, the sale of alcoholic beverages to minors is prohibited.

All offers on the Site are therefore reserved for adults aged eighteen (18) years and over, with legal capacity.

By placing an order, the User or Buyer declares and warrants that they are of legal age and have the full legal capacity to enter into a sales contract with La Sanglière.

It is also important to remember that alcohol abuse is dangerous to your health and that alcohol should be consumed in moderation. For information tailored to each internet user's health, La Sanglière advises them to consult their doctor.

Article 14. General Provisions

14.1. Registers

Computerized records, stored in La Sangliére's computer systems under reasonable security conditions, will be considered as proof of communications, orders and payments made in accordance with the General Terms and Conditions.

14.2. Limitation of Liability

La Sanglière is only bound by an obligation of means regarding the information, and in particular the photos appearing on the Site and especially on the Product Sheets. They are provided without any condition or guarantee that they are accurate, complete and up-to-date.

Unless otherwise provided, and within the limits prescribed by French law, La Sanglière expressly excludes all liability for any damages, including and without limitation, any direct, indirect, special, consequential or incidental damages, or damages relating to loss of use, profits, data or any other intangible property, damage to goodwill or reputation, or cost of purchase of substitute products or services arising out of, or related to, the use, inability to use, performance or malfunctions of the Site and the elements posted on it, regardless of whether such damages could be considered foreseeable under contract, tort, jurisprudence or any other applicable body of rules.

This provision has no bearing on La Sanglière's liability for death or injury resulting from its negligence, or its liability for misrepresentation, misleading representation relating to a material matter, or any other liability which cannot be excluded or limited under law.

Browsing and placing orders online implies knowledge and acceptance of the characteristics and risks associated with the internet, in terms of technical performance, response time, risk of interruptions, viruses, and more generally, all risks associated with connecting to and transmitting data over the internet. Internet users must take all appropriate measures to protect their own data and information stored on their computer equipment. The creation of hyperlinks to the Site is subject to the prior agreement of La Sanglière. Hyperlinks from the Site to other websites do not, under any circumstances, imply any liability on the part of La Sanglière.

14.3. Invalidity of a clause

Any provision of these Terms and Conditions that is declared invalid under any law, regulation, or final ruling of a competent court will be deemed unenforceable, but its invalidity will not affect the validity of the remaining provisions or the validity of these Terms and Conditions. Wherever possible, if a clause/sub-clause or part of a clause/sub-clause can be severed from the rest of the clause to render the remaining portion valid, the clause will be interpreted accordingly. Otherwise, the User agrees that the clause in question will be amended and interpreted in such a way as to approximate the original meaning of the clause, in accordance with applicable law.

14.4. Disputes and Applicable Law

These Terms and Conditions are governed by French law. Any dispute relating thereto that cannot be resolved amicably, in particular in accordance with Article 7.3, shall be submitted to the competent French courts.
